User agrees to indemnify and hold TradeKey.com and its affiliates, executives, directors and employees, harmless from any claim or demand (including legal expenses and the expenses of other professionals) made by a third party due to or arising out of User's breach of these Terms of Use or the documents it incorporates by reference, or User's violation of any law or the rights of a third party.

UThe Terms of Use contained within this Agreement constitute the entire agreement and understanding between TradeKey.com and the User, superseding any previous understanding(s) between TradeKey.com and the User. Furthermore, User agrees that they have not relied upon any representations or warranties that are not set forth expressly in these Terms of Use.

UHeadings used in this Agreement are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such part or section the Agreement.
